The Role You’ll Play:

In this role, you’ll leverage your extensive legal experience to partner with the Executive Leadership Team, driving strategic decisions that balance compliance, risk, and business impact. Your expertise in both law firm and in-house settings will be crucial in guiding the company through complex negotiations and key decisions, all while upholding the highest standards of integrity.


Your Main Tasks:

  • Collaborate with Executive Leadership to deliver strategic legal insights that align with business goals.
  • Advise on and structure complex sales contracts, ensuring optimal alignment with the company's strategic objectives.
  • Draft, negotiate, and execute a broad spectrum of commercial agreements, including procurement, licensing, promotional, product development, and other general business agreements.
  • Lead the development and optimization of legal operations, alongside ad hoc business operations to support organizational efficiency.
  • Manage and optimize relationships with outside counsel, balancing cost, expertise, and risk to maximize value.
  • Counsel on a wide array of legal matters including compliance, risk management, sales and use tax, and global data protection and privacy laws.
  • Collaborate with Finance and People Teams to manage the company's equity portfolio, with experience in Carta being advantageous.
  • Lead and support strategic M&A activities, ensuring due diligence and alignment with corporate strategy.
  • Strengthen internal controls in partnership with Finance, establish a robust risk management framework, and drive operational scalability.
  • Provide legal guidance on employment matters, partnering with People Operations to craft and review employment agreements.
  • Attract, develop, and lead a high-performing legal team, fostering a culture of excellence and accountability.
  • Negotiate and manage customer and vendor agreements, from routine to highly complex, ensuring favorable outcomes.
  • Provide expert legal guidance in emerging areas such as digital assets, SaaS, software development and licensing, vendor agreements, payment services, intellectual property, market data distribution, partnerships, referrals, marketing, NDAs, and custody.
  • Collaborate with board members by providing legal advice, a business perspective and risk exposure as well as preparing the board minutes


What you bring to the table:

  • Extensive in-house experience advising technology companies, with a strong preference for SaaS environments.
  • Minimum of 10 years of legal practice, blending top-tier law firm and in-house experience, with a proven track record in the tech industry.
  • Expertise in drafting, reviewing, and negotiating a comprehensive range of business agreements, including but not limited to services agreements, software development and licensing agreements, trading agreements, financing agreements, procurement agreements, staking agreements, and sponsorship and marketing services agreements.
  • Deep understanding of contract negotiation, particularly in areas such as warranties, limitations of liability, and indemnities, with the ability to align these with the company’s risk tolerance and commercial goals.
  • Broad and comprehensive legal knowledge, spanning corporate law, litigation, employment law, data privacy, and other relevant areas.
  • Exceptional communicator with a commanding presence, capable of clearly articulating complex legal concepts to diverse audiences, both verbally and in writing.
  • Strong business acumen, with the ability to integrate legal expertise with financial insights to achieve a pragmatic balance between legal risks and business objectives.
  • Experience in public tech companies is highly desirable.
  • Unwavering professional ethics and integrity, with a reputation for excellent judgment and superior analytical skills.
  • Active bar admission in good standing.

Please note this is a US-based role.

In addition to base salary, this role is also eligible for a bonus opportunity.

A little bit about our pay practices: Typically, we will hire at our Hiring Target, but actual starting pay may be based on several factors, including, but not limited to, market rate, the qualified pool of candidates, internal compensation, candidate experience, and budgetary constraints.
