About the position:
The Corporate Counsel role is an exciting opportunity to serve as our first in-house counsel, responsible for building out the processes to support an in-house legal function as well as demonstrating the monetary and efficiency value from bringing resourcing in-house. This individual will also be responsible for drafting, reviewing, and negotiating commercial contracts for our SaaS platform and MSSP ACO. This is a highly cross-functional role and will work with all parts of the business, particularly our growth and compliance teams, as well as coordinate with third parties, such as our health plan customers, providers, vendors, and external legal partners.
What you’ll do:
- Serve as the first in-house counsel to support our value based care and financial incentives technology platform and other initiatives, including our Accountable Care Organization.
- Draft, review, and negotiate a wide range of commercial contracts, including service contracts with Stellar’s customers (health care insurance companies and health care systems), network agreements with medical groups, purchase contracts with vendors, and data use and business associate agreements across these entities.
- Use prior experience, knowledge, and commercially-minded judgment to navigate complex negotiations that achieve desired results while managing risk and protecting the company's interests.
- Interpret and translate complex healthcare entity relationships and regulatory requirements, including financial incentives and reimbursement, AKS/Stark, corporate practice of medicine, risk adjustment, and HIPAA and other data privacy issues.
- Work cross functionally with business teams across the company to analyze legal risks, devise creative but compliant solutions and develop strong, trusted advisor relationships.
- Identify, create, and deliver training materials to relevant staff that enables their meaningful participation in the contracting process and enhances organizational efficiency.
- Transform existing framework, processes, and documents into a full-fledged internal legal program that can be easily maintained and scaled for growth.
- Support the network and enterprise sales teams as they interact with current and potential customers.
- Stay aware of emerging or changing regulatory obligations and coordinate required actions with the compliance team.
- Create and maintain an inventory of existing contractual obligations.
- Support the compliance team with supplemental regulatory research support.
- Manage the relationship with external counsel and oversee their work product. Candidates are expected to demonstrate long term savings from the transition to internal resourcing.
As Corporate Counsel you should have:
- Juris Doctor degree from an ABA-accredited U.S. law school. We will also consider a foreign equivalent from an accredited law school with the right background and experience.
- Active bar membership in at least one U.S. jurisdiction.
- 5-7 years of legal experience.
- Preference will be given to candidates who have experience:
- In healthcare technology at a startup, a payor or large provider group, the government, or an accountable care organization.
- Building and maturing an legal function to drive efficiency, value, and scalability.
- Driving cost savings found by bringing legal resourcing in-house preferred.
- Optimizing the contract lifecycle with a keen focus on balancing speed and quality while managing risk to the organization within tolerated limits.
- We are also looking for someone who has:
- Experience reviewing and negotiating value based care contracts with various types of healthcare entities required.
- Strong understanding of and experience with applicable federal and state healthcare regulations, including telehealth regulations, laws such as AKS, FCA and other fraud and abuse laws, CPOM, scope of practice rules, Medicaid reimbursement rules.
- Strong understanding of and experience with federal and state healthcare privacy regulations.
- Excellent analytical, communication, and negotiation skills.
- Ability to work independently and as part of a cross-functional team.

Pay:
The salary range for this role is $215,000 - $250,000 and will be eligible for an annual performance based bonus and equity grant. Where a new hire falls within this range will be based on their individual skills and experience, and how these competencies compare across other employees in the same role. Stellar's bands are designed to allow for individual compensation growth within the role. As such, new hires typically start at the lower end of the range. Stellar rewards performance and outcomes - should you join the company, you will have the opportunity to grow your salary over time.
