Who you are:
We are seeking a Transaction Manager, Capital to support Hometap’s capital markets transactions. In this role, you’ll be responsible for developing timelines and managing day-to-day execution of capital markets transactions, including Rule 144a and Reg 4a2 securitizations and various bilateral asset sale and financing transactions. You’re someone with deep experience in deal execution and managing the component parts of capital markets transactions. This is an exciting opportunity for someone who has successfully managed the execution of securitizations and other transactions, looking to join a growing company leading the development of a new asset class.
What you’ll do:
- Partner with the Director of Structured Products on the end to end execution of structured finance transactions, including activities such as:
- Create transaction timelines and responsibilities plans, and track internal and external deliverables to successful completion
- Review all transaction documentation
- Set up 17g-5 site and post files for rating agencies and review presale reports
- Liaise with internal partners on creation of the data tape(s) and data dictionaries
- Support third party due diligence process to completion; review diligence reports for accuracy
- Oversee preparation of the ABS Form 15G filing
- Assist in preparation of marketing materials by Hometap and dealer
- Assist in completion of escrow agreements with financing partners/trustees
- Document key terms, Hometap obligations, pricing and investor participation for each transaction
- Support negotiation of asset sale, financing, and other capital facilities including preparation and review of term sheets, reviewing long form agreements, and coordinating cross-functional review of mechanics
- Perform HEI securitization market research, supporting strategic development of product and capital transaction structures
- Provide post-closing support for securitizations and other Capital transactions
- Support Rating Agency and dealer periodic due diligence review process
- Create detailed securitization process checklist and document procedures for key tasks
- Assist in managing relationships with key transaction parties (e.g. rating agencies, backup servicer, trustee, custodian, accountants, counsel, bankers)
- Support ad hoc review of capital facility related matters including researching various economic, covenant, notice and other key terms
What you bring:
- 7+ years experience planning and executing issuance of Rule 144A ABS or RMBS, preferably for an originator or aggregator
- Fluency in structure, key concepts, and documentation used in securitization and asset sale and financing transactions
- Experience negotiating capital markets agreements (note purchase agreements, offering documents, term sheets, asset sale and servicing agreements) and familiarity with key risks and mitigation strategies
- Experience in preparing securitization offering documents and overseeing processes including preparation of third party due diligence reports and preparation of Rule 15G filings; Rule 17G compliance requirements; reviewing rating agency presale reports, AUP letters, custodial certificates and securitization documentation
- Good understanding of key operational tasks in transactions and impacts on successful closings
- Understanding of roles and responsibilities of capital markets participants (e.g., rating agencies, custodians, law firms, auditors, servicers, diligence firms, dealers)
- Experience overseeing routine rating agency originator/servicer/aggregator review, including review of operational assessment
- Experience in Excel, Word and various presentation tools (PPT, Google Slides, etc.) to support the creation and management of work products such as transaction timelines, deal documentation, investor presentations and due diligence materials
- Strong collaborator who can build relationships externally and across the organization
- Strong communication skills and exposure to senior leadership
- Comfortable working in a fast paced, dynamic environment, and able to adapt quickly to changing priorities
- Bonus points: Experience in a capital markets function at an RMBS and/or HEI issuance platform
