As our Corporate Counsel, you will serve as the legal lead on domestic and offshore fund creation and administration, including designing and negotiating fundraising vehicles in the United States and globally.  The role will engage in legal support throughout the life cycle of our pooled investment vehicles, from development, marketing, investor diligence, formation, negotiation, implementation, and reporting.  This is a unique opportunity to function as a fund formation specialist while also building general corporate and commercial legal skills by supporting global expansion and negotiating commercial contracts.

You will report to our Deputy General Counsel and this role is 100% remote. If you are based in the New York City area, you have the opportunity to work in person with our legal team at our New York City headquarters.

  • Lead All Legal Matters Relating to Fund Creation and Administration
    • Negotiate limited partnership agreements, side letter agreements, placement agreements, and other investment management related contracts.
    • Support the preparation and updating of offering documents associated with private fund offerings.
    • Advise on the various rules and regulations applicable to private fund offerings, including Regulation D, bad actor certifications, ERISA and investor qualification requirements.
    • Partner with teams across Redesign Health (tax, accounting, investor relations) to build scalable fund administration processes.
    • Work closely with our Head of Compliance on ensuring compliance with applicable securities laws.
    • Collaborate with Capital Development on investor communications and responding to investor requests.
  • Support General Corporate and Commercial Matters
    • Advise on and support legal workstreams relating to global expansion.
    • Support the senior members of the legal team in structuring and negotiating complex transactions, including financings (preferred stock, SAFEs, convertible notes and debt) and strategic commercial partnerships.
    • Draft, negotiate and interpret a wide variety of commercial agreements, such as non-disclosure, vendor, partner, master services, consulting and other commercial contracts.
    • Provide practical and strategic business-focused advice to all stakeholders, summarizing and socializing complex legal concepts for non-lawyers.
    • Participate in the development of playbooks and curricula for internal clients.

  • Minimum 3 years of experience in the investment funds group of a major law firm.
  • License to practice law in New York or California, or other states with major cities, with a willingness to become licensed in NY or CA.
  • Experience organizing and communicating effectively in a highly ambiguous environment.
