About the Role
Particle Health is seeking a strategic and innovative General Counsel to serve as the company’s legal leader, driving initiatives that align with our mission to empower better patient outcomes. Reporting directly to the CEO and serving as a key member of the executive team, this role will oversee all legal functions with a focus on commercial agreements, data governance, information security, and regulatory compliance.
As General Counsel, you will play a pivotal role in ensuring Particle Health’s operations meet legal standards, align with industry best practices, and reflect our core values. You’ll work closely with senior leaders to support business growth, mitigate risks, and enable innovation in a fast-evolving healthcare technology environment. This hands-on role also includes quarterbacking health information network approvals and managing government relations, leveraging expertise in healthcare policy to support our customers and platform.

Key Responsibilities
Strategic Legal Counsel
- Serve as a trusted advisor to Particle’s leadership team, providing proactive legal guidance on regulatory requirements, compliance, and risk management within healthcare technology and data privacy.
- Oversee and manage legal strategies for data governance, cybersecurity, and privacy to ensure compliance with HIPAA, HITECH, TEFCA, and other evolving regulations, while balancing business objectives with ethical standards.
- Quarterback health information network approvals and other government and regulatory-facing initiatives, leveraging direct healthcare government and policy expertise to navigate requirements and align submissions with regulatory and organizational goals.
- Lead the negotiation, drafting, and review of complex agreements, including partnerships, customer contracts, and vendor agreements, especially those involving data governance and information security.
- Manage litigation and dispute resolution efforts, engaging with external counsel as needed to protect Particle’s interests.
Regulatory Compliance and Risk Mitigation
- Stay ahead of regulatory developments and ensure legal compliance in new product development and marketing initiatives. Proactively address regulatory exposures and risks across sales, data security, and cross-border operations.
- Develop training for internal teams on compliance, privacy, and regulatory standards to deepen understanding and reinforce ethical, patient-focused practices.
Cross-Functional Collaboration
- Partner closely with engineering, product, and operations teams to align legal practices with business needs and promote best practices in data protection, security, and risk mitigation.
Qualifications
- 12+ years of legal experience with a significant focus on healthcare technology, regulatory compliance, or data privacy, ideally in high-growth environments. At least two years of in-house experience is preferred.
- Expertise in healthcare laws such as HIPAA, and BAAs, with a robust understanding of regulatory frameworks governing healthcare technology and data licensing & governance.
- Extensive experience collaborating with government agencies and programs, including leading critical submissions such as E1 filings, with a strong understanding of healthcare policy, reimbursement frameworks, and regulatory processes impacting healthcare interoperability and data exchange.
- Proven ability to navigate the complexities of government healthcare initiatives such as Medicare, Medicaid, and health information networks, ensuring compliance and alignment with Particle Health's mission to enable seamless data sharing for customers across digital health, providers, and condition-specific platforms.
- Proven ability to navigate complex data governance, information security, and privacy matters, staying updated on industry trends and regulatory changes in cybersecurity and data protection.
- Strong understanding of technology’s impact on healthcare, with the ability to address complex legal issues in data management and security.
- JD from an accredited law school with an active U.S. State Bar membership in good standing.
- Exceptional judgment, negotiation, and organizational skills; ability to translate legal advice into actionable business solutions; capacity to prioritize and address complex issues in alignment with Particle Health’s mission and values of integrity, curiosity, boldness, and persistence.
