LOCATION: New York City (hybrid) or Fully Remote in the United States
SALARY: 150k-175k (based on NYC, will be adjusted for geo)
The Role:
Canoe Intelligence is a leading financial technology company that provides automated data management solutions to institutional investors, allocators, and asset servicing firms. Our innovative platform streamlines alternative investment operations, enabling clients to transform their workflows and achieve greater efficiency, accuracy, and transparency. We are seeking our first highly skilled and motivated Corporate Counsel to join our team and contribute to our mission of revolutionizing the alternative investment industry.
What You'll Do:
- Contract Drafting and Negotiation:
- Draft, review, and negotiate a variety of commercial agreements, including software licenses, service agreements, and vendor contracts.
- Collaborate with cross-functional teams to ensure contract terms align with business objectives and comply with legal requirements.
- Corporate Governance:
- Advise on corporate governance matters and ensure compliance with applicable laws and regulations.
- Assist in the preparation and maintenance of corporate records, resolutions, and governance policies.
- Legal Compliance:
- Monitor and ensure compliance with relevant laws, regulations, and industry standards.
- Stay informed about changes in laws that may impact the company's operations.
- Contract Lifecycle Management:
- Implement and manage efficient contract lifecycle processes, from initiation to execution and renewal.
- Develop and maintain a centralized contract repository and tracking system.
- Cross-functional Collaboration:
- Collaborate with various departments, including sales, finance, and product development, to provide legal support and ensure alignment with business goals.
- Dispute Resolution:
- Assist in the resolution of legal disputes, working closely with external counsel when necessary.
- Provide guidance on pre-litigation strategies and risk mitigation.
What We're Looking For:
- Experience being a team of one or on a small team is ideal
- Juris Doctor (J.D.) degree from an accredited law school and admission to the bar in the relevant jurisdiction.
- Minimum of 5 years of relevant experience practicing law, preferably with a focus on corporate and commercial matters.
- Strong understanding of corporate law, contract law, and relevant regulatory frameworks specific to the financial technology industry.
- Excellent drafting and negotiation skills, with the ability to effectively communicate complex legal concepts to non-legal stakeholders within Canoe Intelligence.
- Experience working in a corporate legal department preferred.
